Terms and Conditions

Welcome to toktokbills. The following T&Cs shall apply to all those who wish to settle their unpaid bills using the toktok App. These T&Cs shall govern the terms under which you may access and use the toktok App, toktok website, and the services associated with it (together “toktokbills Service” or “toktokbills Services”). By accessing, registering or using the toktokbills Services, you hereby accept and agree to be legally bound by the T&Cs. If you do not understand and agree to be bound by any of these T&Cs, you should not access or use any of the toktokbills services.

These T&Cs shall be effective, valid, and binding from the time you agreed to it and it will exist up to the time that is terminated by either party, save for some provisions which shall remain effective after termination, as stated in this T&C, under any law, rule, or regulation and this shall govern the terms under which you may access and use the products and services of toktokbills.

toktokbills reserves the right to modify these T&Cs at any time without any prior notice. Any changes to these T&Cs shall be effective immediately upon publication on the toktok App or toktok website.

Subject to the applicable laws and regulations of the Philippines, these terms set out the entire agreement between you and us in relation to toktokbills’ services – you agree that you will have no claim against toktokbills, for any statement which is not explicitly set out in these terms. In the event that any of the provisions of these terms are deemed invalid or invalidated subsequently by any rules or regulations, the remaining provisions will not be affected, and the validity or enforceability of any other provision (or the remaining parts of that provision) will remain. If a court holds that we cannot enforce any part of these terms as drafted, we may replace those terms with similar terms to the extent enforceable under applicable laws and regulations, without changing the remaining terms of these terms. No delay in enforcing any provision of these terms will be construed to be a waiver of any rights under that provision.

Under these T&Cs, the terms “toktokbills”, “we”, “us” and “our” refer to the company, together with its employees, directors, affiliates, successors and assigns. toktokbills is a Filipino made bill payment services to all various business essentials services or utilities in the Philippines.

DEFINITION OF TERMS

“Available Balance” – it refers to the amount of digital money inside the User’s toktokwallet account.

“Biller” – refers to the companies that are credited partner under toktokbills.

“Biller Type” – refers to the classification of services and companies, which are included or partnered with toktokbills.

“Convenience Fee” – refers to the additional payment when toktokbills is used for transaction.

“Gateway Fee” – refers to the additional payment for the third party that process the transaction of the USER.

“Outstanding Balance” – refers to the amount, payors need to settle with the biller.

“Pay Bills” – refers to the process of sending payment for the unpaid utility bills and other related transactions from the payor to the biller.

“Payment Summary” – refers to the amount of payment to be deducted for a certain transaction for the user’s review. This appears before allowing the user to continue with the payment.

“Payor” – refers to a type of user who sends payment of their unpaid utility bills and others related transactions thru toktokbills.

“Recurring Payment” – refers to the payment the re-occurs timely to the same biller.

“Service Reference Number” – is the automated eleven (11) digit number that the system will provide to be able to proceed with the successful payment of utility bills and other related transactions.

“T-PIN” – refers to the six (6) digit security number nominated by the user and is being required before a transaction shall be completed.

“toktokbills E-receipt” – refers to the summary of details as proof of transactions and acknowledgment of payment on the products and services availed.

“User” – refers to the one who is registered, verified and affiliated to use the products and services of toktokbills and toktokwallet.

“Web-admin” – refers to the one who is the registered, verified and affiliated to use the service of toktokbills.

ACCESS TO toktokbills

The user agrees to use the toktokbills only for lawful purposes and in a lawful manner at all times. The user shall comply with all any guidelines, notices, operating rules, and policies and instructions pertaining to the use of the toktokbills.

It is the responsibility of the user to ensure that any information or data you provide to us in connection to the toktokbills is accurate. It is our policy to prohibit and actively pursue the prevention of money laundering and any activity that facilitates money laundering and terrorist financing. In the event that the user intended to give access to anyone, toktok will not be liable to any possible cause of infringement of security to him/her.

REGISTRATION

You need to create an account in toktokwallet in order to use the toktokbills. Since, toktokwallet shall be the sole payment platform that a user may use in availing toktokbills’ services. The account is personal to you or to the juridical entity who caused its registration, and you are prohibited from lending, transferring, or permitting any other person to access your account, except those persons duly authorized on accounts owned by a juridical entity.

Upon registration, toktokbills will automatically read your credentials and personal details from your toktokwallet account. toktokwallet will trigger the verification of the account.

You agree to provide all necessary information, including additional information that the toktokbills may ask. You also agree that all information that you provide is true and correct to the best of your knowledge. Any false information will be used against you and your registration for toktokwallet and toktokbills shall be terminated.

OTHER TERMS

toktokbills is an e-payment transaction platform inside the toktok application.

The user’s toktokwallet account shall be the sole payment platform to be used in paying the unpaid utility bills and other related transactions.

We reserve the right to modify, stop, suspend any of its services when circumstances so warrant without prior notice.

Transactions may be delayed or canceled due to various reasons including but not

limited to, maintenance, downtime, verification process, or in compliance with existing laws or regulations.

OBLIGATIONS OF THE USER

The user agrees to abide by the obligations stated and the user shall understand that failure to abide by these obligations is punishable by reasonable penalties to the user’s account.

In using toktokbills, you agree that you will not use it for your own profit or for commercial use. Likewise, you agree not to reverse-engineer, modify, or alter the application in any manner.

You, as the user, shall undertake to provide us with:

1. A true, current and complete evidence of identity, and promptly update its personal information if and when it changes.
2. Any identity documentation as may be requested by the management
3. True, accurate, current and complete information as required by toktokbills, to receive the service and any other information which may be required in relation to the receiver.
4. Any other information that must be provided to avail the services.

The user is responsible for all initiated transactions and their fees while using the toktokbills.

The user acknowledges and agrees that the services provided in connection with the user’s toktokbills account should in no way be construed in line with the provision of banking services or remittance services.

SERVICES

Bill Payment. The user may pay their outstanding balance or unpaid utility bills and other related transactions to any biller available in toktokbills, anywhere in the Philippines as long as there is an available internet connection.

The user may already start enjoying the products and services offered by toktokbills and its affiliates.

LIMITS

There are no limits in paying your unpaid bills and other related transactions as long as there is a sufficient balance in the payor’s toktokwallet account.

FEES AND OTHER CHARGES

Fees, Rates and Other Charges. The user agrees to pay fees, rates, other charges, and applicable taxes, related to the service and its use. The amount of fees and charges may be revised as may deem necessary, effective immediately, without prior notice.

Fees and other charges imposed upon the user shall be inclusive of all Philippine taxes, and shall be credited from the user’s account.

TRANSACTION HISTORY

Transactions made through the toktokbills services are automatically recorded. You may view and review your transactions under the “Transaction History” tab. toktokbills shall be held free and harmless from any and all liability should the Account/Transaction History statement be read by any person other than the user.

DISPUTE AND UNAUTHORIZED TRANSACTIONS

Any transaction recorded in the toktokbills’ transaction history and database are presumed true and correct. There will be a downloadable receipt and SMS / Text confirmation for every transaction. toktokbills shall not be liable for any mistake made through person-to-person transactions.

Any disputes thereto should be reduced in writing by the user, and shall notify toktokbills within twenty-four (24) hours from the date of the transaction. Failure to dispute the transaction within the reglementary period will result in its conclusiveness. Disputed transactions shall only be credited back once the same is properly investigated and verified. If no dispute is reported within the said period, all transactions and the entries in the Account/Transaction History statement are considered true, correct, and final.

USER’S ACCOUNTABILITY

Change in Details / Information

The owner of the account shall immediately inform the toktokbills Customer Care of any change of personal information such as name, residency and contact information.

Fraudulent transactions

toktokbills shall have the right to automatically suspend or block the toktokbills’ user in the event that there is a reason to believe that the toktokbills is being used for suspicious transactions by unauthorized persons.

The toktokbills' user acknowledges the authority of toktokbills to suspend or block the user’s account.

PERSONAL IDENTIFICATION NUMBER (PIN)

toktokbills will automatically require a six-digit pin for every transaction initiated by the user. Upon registration, a One Time Pin (OTP) will be required to complete the application. Remember not to share the OTP to anyone except with the consent of the user.

TERMINATION AND SUSPENSION OF ACCOUNT

Failure to comply with these T&Cs, will warrant the termination or suspension of the user’s account.

In the event that the user’s account is suspended or terminated, the user agrees to hold toktokbills completely free and harmless from any and all liabilities.

LIMITATION OF LIABILITY

toktokbills makes no warranty, express or implied regarding the functionality of the toktokbills' products and services.

toktokbills is offered on an “AS IS”, “AS AVAILABLE” basis without warranties of any kind other than warranties that are incapable of exclusion, waiver or limitation under the laws applicable to these T&Cs.

toktokbills, shall not be liable for any loss, costs, compensation, damage or liability to the user or third party arising directly or indirectly as a result of any or all of the following:

i.) Any delay, interruption or termination of the toktokbills transaction, whether caused by any error, technical, mechanical, electrical or electronic fault or difficulty or any other reason or circumstance beyond its control, such as, but not limited to the following: calamity, war, acts of the government, acts of God, strike, enacted laws or regulations.

ii.) Theft or unauthorized use of the toktokbills account or any loss, costs, damages or payable to any third party by the users.

iii.) Any misrepresentation or fraud by or misconduct of any third party.

In the event of any action that the user may file against toktokbills, the user agrees that its liability shall not exceed One Thousand Pesos (P1,000.00) or the amount of damages actually suffered by the Account Holder, whichever is lower.

DATA PRIVACY POLICY AND INFORMATION COLLECTION

As a condition for use of the service, the user consents, agrees and permits toktokbills including its subsidiaries, affiliates, lawyers, consultants and authorized subcontractors to process or disclose personal data, including data that may be classified as personal information and/or sensitive personal information under the Data Privacy Act of 2012 to toktokbills' employees, agents, affiliates, lawyers, subsidiaries, and third party in order to conduct activities, such as, but not limited to:

i.) processing and conducting analysis for research purposes

ii.) provision of customer care

iii.) showing of relevant ads based on the user’s preference

iv.) conduct of statistical analysis based on the user’s usage and preference

Other than as described in these T&Cs, we shall secure and shall not disclose any of your information, unless your expressed permission is given.

The toktokbills application and site use forms in which you give us contact information (including your name, address, telephone number, and email address) so you can use the application, request information and support, and make product suggestions. For certain services, we may also request a government identification number, or other financial information. We shall then create an account for you.

We shall receive and store any information you enter on our mobile application or give us in any other way, including through email, telephone, or other communications with our customer service department. For future reference, we shall keep an internal record of support we provide to users. We shall use your information to contact you regarding functionality changes to our products, services, and special offers we think you find valuable.

toktokbills shall maintain and keep the user’s information with due diligence and strict confidence.

DATA SHARING

You hereby consent to and authorize toktokbills, for the purpose of conducting its operations, including but not limited to fraud and risk management, sales and marketing activities, communications relating to its products and/or services, product and system development and innovation, customer experience management and improvement, and market research, to collect and process any and all information related thereto from whatever relevant source.

You hereby consent to and authorize the disclosure of and release by toktokbills, of any and all information required by toktokbills such as, but not limited to, the following [i] voice calling data records; [ii] Email and/or SMS sending and receiving records; [iii] Data usage records; [iv] Promo subscription and redemption records; [v] Customer relationship management records; Credit information; [viii] KYC data; [ix] Registration data; and [x] Transaction data.

The foregoing consents and authorizations shall continue for the duration of, and shall survive the termination of, this Agreement, or any other transactions, dealings, arrangements and accounts which you may have with, or avail from toktokbills.

SECURITY

The mobile application and website have security measures in place to protect account holders against the loss, misuse or alteration of the information under our control.

PUBLICITY

toktokbills may use the user’s name or mark and identify the customer as our client, on our website and/or marketing materials. toktokbills may issue a press release, containing the customer’s name, related to any award under this Agreement. Neither party will use the other party’s name or marks, refer to or identify the other party for any other reason, except as established in this section, without such other party’s written approval. Any approval required under this section shall not be unreasonably withheld or delayed by either party.

GOVERNING LAW

These Terms and Conditions shall be governed by the law of the Philippines.

These Terms and Conditions shall be governed and interpreted in accordance with Philippine Laws, and you submit to the exclusive jurisdiction of the Courts in the City of Pasig for the resolution of any disputes.

VENUE

Venue of all suits shall be exclusively in Pasig City, to the exclusion of any other Courts.

NON-WAIVER OF RIGHTS

No course of dealing, nor any failure to exercise, nor any delay in exercising any right, power or privilege hereunder shall operate as a waiver thereof, unless it is in writing signed by the Party granting the waiver

SEVERABILITY

The invalidity or unenforceability, in whole or in part, of any provision in this Agreement shall not affect in any way the remainder of the provisions herein.

AMENDMENT

These T&Cs may only be released, discharged, supplemented, interpreted, amended, varied or modified by us through publishing an updated T&C in the toktok App and/or website.

AGREEMENT

These T&Cs constitute the entire agreement between the parties as to the use of toktokbills and supersede and extinguish all previous drafts, agreements, arrangements, and understandings between the parties, whether written or oral relating to the use of toktokbills.

Furthermore, the user agrees to be bound by these Terms and Conditions governing the use of the toktokbills.
